Rumi Essay and its services (the "Site" or the "Services") are operated and maintained by Rumi, Technologies, Inc. ("Rumi" or "Company" or "The Company"), and provided to you, the user ("You" or "User" or "End-User"), conditionally upon Your acceptance of the terms, conditions, and notices contained herein without modification (the "User Agreement"). Depending on the Rumi solution utilized, references to 'You', 'student', or 'End-User' shall include any person submitting papers through the Service, however they are defined. All papers ("Paper" or "Papers") drafted on Rumi refer to the final text of paper submission, all revision history data, and all relevant session data collected via the web-browser throughout the paper writing process (more details provided under the Data Collection and Ownership of this document).

Acceptance of Terms

By accepting these Terms, You expressly confirm that You are legally entitled and of legal age to accept these Terms, that You have read and understand these Terms, and that You have confirmed that your use of the Services is permitted under the laws of your country. Rumi will not be responsible if the use of the Services does not comply with the laws of your country. You also represent and warrant that any information You provide Rumi in connection with your use of the Services is accurate, correct and up to date.

Eligibility

Signing up for an account on this website requires permission from a parent or legal guardian if you are under 18 years old. While anyone may view content on the site without registering, minors need consent from a parent or guardian before creating an account. If you are a parent or legal guardian, please review the registration process and content of this site to determine if it is appropriate for your child to sign up. If you consent, you may create an account on behalf of your minor.

Term

These Terms & Conditions shall remain in full force and effect while You use the Services or are a User. You may terminate your Account at any time, for any reason. Rumi may terminate your Account at any time, without warning. Even after the Account is terminated, these Terms & Conditions will remain in effect.

Modification of terms of use and/or services

Rumi reserves the right, in its sole discretion, to modify, discontinue or terminate the Services or to modify this Terms of Use at any time and without prior notice. If Rumi amends these Terms of Use, it will update this posting on the Website and specify the effective date of the new version of the Terms of Use. Your continued use of the Services following the posting of a new version of the Terms of Use shall constitute your acceptance of any such amendments. Accordingly, You should check to see if a new version of the Terms of Use has been posted each time You use the Services. If the amended Terms of Use are not acceptable to You, your only recourse is to cease using the Services.

Privacy

Please refer to the Privacy Policy available here for information and notices about how the Company collects, uses and shares your personally identifiable information in connection with the Services. You hereby agree to be bound by the Company’s Privacy Policy.

Password

‍

When You sign up to become a Member, You may also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Rumi immediately if You suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Data Collection

Upon creating a new Paper in Rumi, data regarding user actions and browser sessions is gathered. The data collected is limited to the browser tab containing Rumi's website. This information is collected with the intention of assessing the originality of the paper. The types of data collected are described below:

Data from user actions: User interactions, such as keystrokes and mouse actions, may be logged in Rumi's database. This encompasses actions such as typing, deleting, undoing, redoing, and pasting.
Data from user sessions: Time-related metrics, such as the duration of typing, the time spent with the Rumi site tab in focus, and other similar metrics, may be documented in Rumi's database. Additional session data, including active browser plugins, user IP addresses, and other information accessible through the browser, might also be recorded and stored in Rumi's database.

Data Ownership

You or the person who has authorized You to submit a Paper for review as part of the Services will, subject to the license granted hereunder to Rumi and its affiliates, vendors, service providers and licensors, retain your ownership of the Paper. This User Agreement grants Rumi and its affiliates, vendors, service providers and licensors only a non-exclusive right to your Paper solely for the purposes of plagiarism prevention and the other Services provided as part of Rumi.

All materials created by the Services, including the format of reports evaluating textual sources ("Service Reports"), and all intellectual property rights related thereto are owned by Rumi or its suppliers. The Site is protected by United States and international intellectual property right laws. With the exception of the limited right to access the Services described above, nothing contained herein shall be construed as granting You any right, title, or interest in the Services or any of Rumi or its affiliates', vendors', service providers' or licensors' intellectual property or proprietary information. Any rights not expressly granted to You by this User Agreement or any other agreements with Rumi are reserved by Rumi and/or its affiliates, vendors, service providers and licensors.

License by You

Papers. If You draft a Paper or other content in connection with the Services, You hereby grant to Rumi (and, if necessary for providing the Services its affiliates, vendors, service providers, and licensors) a non-exclusive, royalty-free, perpetual, worldwide, irrevocable license to use such Papers, as well as feedback and results, for the limited purposes of a) providing the Services, and b) for improving the quality of the Services generally. You also grant the license to Communications as disclosed below. The licenses shall survive the termination of the User Agreement. Any cessation of the use of the Site or Services shall not result in the termination or expiration of this license. Nothing shall prevent Rumi and its affiliates, vendors, service providers and licensors from using information independently created by them. Papers are held at the discretion of Customers in accordance with the terms of the Registration Agreement between Rumi and Customer. You may at any time request that Rumi and its service providers delete each Paper that you individually identify to us through the system administrator at your institution.
Communications other than Papers: Rumi shall not obtain the right to use concepts or ideas set forth in Paper submitted to the site, which is covered by the license above. No Rumi employees, representatives, affiliates or other connected persons use the content of submissions for any reason other than those pursuant to fulfilling our customer support obligations. Unless otherwise indicated in the Site, including our Privacy Policy, any communications or material of any kind that You email, post, or transmit through the Site, including, questions, comments, suggestions, and other data and information (Your "Communications") will be treated as non-confidential. You grant Rumi a non-exclusive, royalty-free, perpetual, worldwide, irrevocable license to reproduce, transmit, display, disclose, archive and otherwise use Your Communications on the Site or otherwise for our business purposes. Rumi is free to use any ideas, concepts, techniques, know-how or information in Your Communications for any purpose, including, but not limited to, the development and use of products and services based on the Communications. For example, if you were to suggest a feature for us to add to our Service or Site, we would be free to do that without your further permission or the need for compensation to be made to you. This Communication license expressly excludes personally identifiable Registration Data of students, any Papers submitted to the Site, and grades and assessment related information.

Originality

If You are a customer representative, You agree to maintain any of Rumi’s notices (including legal notices relating to Rumi’s proprietary rights (e.g., copyright and trademark notices) and disclaimers on originality or Service Reports.

Any disclosure of a Service Report to any third party by You is at Your own risk and may violate applicable laws and privacy rights. The score and/or feedback received through the Service should be considered as one piece of evidence about a student's writing ability. When a score is being used for an important decision about a student's performance, instructors should review and evaluate the score and/or feedback to ensure the appropriate decision about placement, performance and plagiarism. You further agree to exercise Your independent professional judgment in, and to assume sole and exclusive responsibility for, determining the actual existence of plagiarism in a submitted paper with the acknowledgement and understanding that the Originality Reports are only tools for predicting the degree of originality of a document and do not determine conclusively the existence of plagiarism, which determination is a matter of professional judgment of the Instructor and Institution.

Prohibited Use

You agree to use the Services only for purposes that are permitted by (a) this User Agreement and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States or other relevant countries). You agree not to access (or attempt to access) any of the Services or Site by any means other than through the interface that is provided by Rumi. You agree not to access (or attempt to access) any of the Services or Site through any automated means (including use of scripts or web crawlers) and shall ensure that You comply with the instructions set out in any robots.txt file present on the Services or Site.

The following is a partial list of the kind of Paper or Communications that are illegal or prohibited to post on or through the Services. Rumi reserves the right to investigate and take appropriate legal action against anyone who, in Rumi sole discretion, violates this provision, including without limitation, removing any offending content from the Services and terminating the Membership of such violators. Prohibited Content and activity includes, but is not limited to Content that, in the sole discretion of Rumi:

is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
harasses or advocates harassment of another person;
exploits people sexually or violently;
contains nudity, violence, or offensive subject matter or contains a link to an adult website;
solicits personal information from anyone under 18 or harms minors in any way;
provides any telephone numbers, street addresses, last names, URLs or email addresses;
promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
promotes an illegal or unauthorized copy of another person's copyrighted work or contains materials that infringe upon any patent trademark, trade secret, copyright, right of privacy or publicity or other proprietary rights of any party;
contains information that you do not have a right to post under any law or under contractual or fiduciary relationships (such as proprietary and confidential information);
involves the transmission of "junk mail", "chain letters", "pyramid schemes", or unsolicited mass mailing, instant messaging, "spimming", or "spamming";
contains restricted or password-only access pages or hidden pages or images (those not linked to or from another accessible page);
furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities;
solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes; or
includes a photograph of another person that you have posted without that person's consent.
Posting false or irrelevant content, or repeatedly posting the same or similar content;

Copyright Policy

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Rumi to terminate User privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of prompt notification to Rumi by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the Services; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. THE SITE AND ALL INFORMATION AND SERVICES AVAILABLE THROUGH THE SITE ARE PROVIDED "AS IS," WITH ALL FAULTS, AND "AS AVAILABLE". RUMI, ITS AFFILIATES, VENDORS AND LICENSORS DO NOT WARRANT THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT ANY RESULTS OR COMPARISONS GENERATED BY THE SITE WILL BE COMPLETE OR ACCURATE. RUMI, ITS AFFILIATES, VENDORS AND LICENSORS DO NOT WARRANT THAT ACCESS TO THE SITE OR THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. Rumi is not obligated to monitor or review any areas of the Site where user Communications may be made available, including, but not limited to, chat rooms, bulletin boards, and other user forums. Communications submitted by users do not necessarily represent the view or opinions of Rumi. Rumi does not preview user Communications before they appear on the Site. Rumi will have no liability related to the content of any such Communications, whether or not arising under the laws of copyright, defamation, privacy, obscenity, or otherwise. Rumi retains the right to remove, in its sole discretion, Communications that include any material deemed abusive, defamatory, obscene, or otherwise inappropriate.

Due to routine maintenance, updates or other technical reasons, the Site and the Services may be temporarily unavailable from time to time. Rumi assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any paper submitted by You or any User Communications. Rumi is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including injury or damage to any Authorized User's or to any other person's computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Site and/or in connection with the Services.

Limitation on Liability

IN NO EVENT SHALL RUMI BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF RUMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, RUMI’s LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO RUMI FOR THE RUMI SERVICES DURING THE TERM OF MEMBERSHIP.

Governing Law and Disputes

These Terms & Conditions and any dispute about or involving the Services shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict of law provisions. You agree that any action at law or in equity arising out of or relating to your use of the Services or these Terms & Conditions shall be filed only in the state or federal courts located in California, USA and you hereby consent and submit to the personal jurisdiction of such courts to litigate any such action, provided that the foregoing shall not prevent Rumi from seeking injunctive relief in a court of competent jurisdiction.

Indemnity

You agree to indemnify and hold Rumi, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of these Terms & Conditions and/or arising from a breach of these Terms & Conditions and/or any breach of your representations and warranties set forth above and/or if any Content that you post on or through the Services causes Rumi to be liable to another.

These Terms & Conditions are accepted upon your use of the Services and are further affirmed by you becoming a User. These Terms & Conditions constitute the entire agreement between you and Rumi regarding the use of the Services. The failure of Rumi to exercise or enforce any right or provision of these Terms & Conditions shall not operate as a waiver of such right or provision. The section titles in these Terms & Conditions are for convenience only and have no legal or contractual effect. These Terms & Conditions operate to the fullest extent permissible by law. If any provision of these Terms & Conditions is unlawful, void or unenforceable, that provision is deemed severable from these Terms & Conditions and does not affect the validity and enforceability of any remaining provisions.
